Website and Software Development Terms & Conditions

1. Accuracy of Description of Goods

All product and service descriptions, specifications, or printed matter provided by Website Developers Hub are approximate unless otherwise stated as complying with recognized trade standards. Recommendations or advice are given without liability unless confirmed in writing by a Director.

2. Software Support License

Software licenses are renewable annually and grant a right-of-use for 12 months. They do not transfer ownership of the software to the customer.

3. Payment

• 100% payment is required before project collection unless stated otherwise in writing.
• Delays caused by the customer (e.g., missing documents or approvals) may incur additional costs.
• No deductions or set-offs are allowed without written approval from Website Developers Hub.
• Monthly subscriptions must be paid in advance via standing order on the 1st of each month. Failed payments automatically terminate service.
• Outstanding balances must be cleared within 30 days. Failure may lead to soft or permanent host termination within 60 days of invoicing.

4. Offer and Acceptance

Quotations are not offers. Orders are subject to these terms, and any external conditions are excluded unless agreed in writing by a Director. Website Developers Hub may seek full payment for goods delivered, even before title passes.

5. Delivery / Collection

• Delivery times are estimates only and not guaranteed.
• Delivery costs include engineer travel (£150 first hour, £75 per consecutive hour).
• Signed delivery notes confirm receipt of goods.
• Website Developers Hub is not liable for delays or consequential losses.

6. Guarantee and Liability

Liability is limited to specific software or hardware warranties. The company is not responsible for any direct, indirect, or consequential damages or losses resulting from the use or failure of goods or services.

7. Warranty

All software is provided “as is” without any implied or explicit warranty. Website Developers Hub is not liable for any damages or losses incurred through software use.

8. Infringement of Rights

• The customer confirms ownership or proper licensing of all materials provided for publication.
• The customer indemnifies Website Developers Hub from all claims related to intellectual property infringement.

9. Property Law

All contracts are governed by English law, and both parties agree to submit to the jurisdiction of the English Courts.

10. Amendments and Cancellation

Any cancellation or amendment of an order requires the customer to reimburse all costs incurred plus a minimum of 50% of remaining development fees as estimated by Website Developers Hub.

11. Website Development

• All developed websites must display the “Website Developers Hub” logo at the bottom.
• The company reserves the right to use completed projects for marketing or reference.
• Code modules or designs may be re-used or re-engineered by Website Developers Hub.
• No guarantees are made for search engine placement; best practices are followed.
• The customer must provide all content and images. Website Developers Hub holds no responsibility for provided materials.

12. Copyright & IPR (Intellectual Property Right)

• All goods and services remain property of Website Developers Hub until full payment is received.
• Website Developers Hub retains full copyright and distribution rights for all designs, code, and databases.
• No materials or code may be reproduced or redistributed without written consent.
• Software installations must be performed by Website Developers Hub’s engineers only.
• Support agreements remain valid only if no unauthorized modifications are made.
